Last Updated: May 10, 2026 · Effective Date: May 10, 2026
1. Agreement to Terms
By accessing our website or engaging Triyamb Services for any service, you ("Client") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, do not use our services.
2. Services
Triyamb Services provides custom software development, DevOps and cloud infrastructure, artificial intelligence and machine learning solutions, healthcare technology, e-commerce development, and related technology services ("Services"). The exact scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work ("SOW") or Project Agreement executed between the parties.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By engaging us, you represent and warrant that you meet these requirements.
4. Project Engagement and Scope of Work
All projects commence upon execution of a written SOW or agreement specifying scope, deliverables, milestones, and payment schedule. Any changes to the agreed scope must be documented in a written Change Order signed by both parties. Triyamb Services reserves the right to adjust timelines and fees for scope changes. Verbal instructions not confirmed in writing shall not constitute a binding change to the SOW.
5. Payment Terms
5.1 Fees: Fees are as agreed in the SOW. All amounts are exclusive of applicable taxes (including GST where applicable) unless expressly stated otherwise.
5.2 Invoicing: Invoices are issued per milestones defined in the SOW or on a monthly basis for retainer engagements.
5.3 Payment Due: Invoices are due within fourteen (14) days of the invoice date unless otherwise agreed in writing.
5.4 Late Payment: Overdue amounts accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower). Triyamb Services reserves the right to suspend services for accounts overdue by more than 30 days without liability.
5.5 Non-Refundability: Fees paid for completed milestones or delivered work are non-refundable unless a material defect is attributable solely to Triyamb Services and is not remedied within a reasonable cure period.
6. Intellectual Property
6.1 Client Materials: All materials, data, and content provided by the Client remain the Client's exclusive property.
6.2 Developed Work: Upon receipt of full payment for a project, Triyamb Services assigns to the Client all intellectual property rights in the custom-developed deliverables as specified in the SOW.
6.3 Pre-existing IP and Tools: Any pre-existing code, frameworks, libraries, tools, or methodologies owned by Triyamb Services and incorporated into deliverables remain our property. We grant the Client a perpetual, non-exclusive, royalty-free licence to use such components solely as part of the delivered solution.
6.4 Open-Source Components: Where open-source software is used, it remains subject to its respective licence terms, which will be disclosed in project documentation.
6.5 Portfolio Rights: Unless the Client requests otherwise in writing, Triyamb Services reserves the right to reference the project and Client name in our portfolio, case studies, and marketing materials.
7. Confidentiality
Both parties agree to keep confidential all non-public information disclosed in connection with an engagement ("Confidential Information"). Neither party shall disclose Confidential Information to third parties without prior written consent, except to employees or contractors who need to know such information and are bound by equivalent confidentiality obligations. This obligation survives termination for a period of three (3) years. Confidential Information does not include information that is publicly known, independently developed, or required to be disclosed by law.
8. Client Responsibilities
The Client agrees to:
- Provide timely access to required resources, personnel, and information
- Review and approve deliverables within agreed timelines
- Ensure all materials provided to Triyamb Services do not infringe third-party rights
- Obtain any necessary licences, consents, or regulatory approvals required for the project
Delays caused by the Client's failure to fulfil these responsibilities may result in revised timelines and additional fees.
9. Warranties
9.1 Triyamb Services warrants that services will be performed with reasonable skill and care in accordance with the agreed SOW.
9.2 Defect Warranty: We provide a 30-day defect warranty period post-delivery for bugs attributable to our work. Defects reported within this period will be remedied at no additional charge.
9.3 Disclaimer: Except as expressly stated, services are provided "as is." We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
10.1 To the maximum extent permitted by applicable law, Triyamb Services shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
10.2 Our total aggregate liability for any claim arising from or related to an engagement shall not exceed the total fees paid by the Client to Triyamb Services in the three (3) months immediately preceding the event giving rise to the claim.
10.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Triyamb Services, its directors, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) the Client's use of our services in violation of these Terms; (b) materials or content provided by the Client that infringe third-party rights; (c) the Client's breach of any applicable law or regulation.
12. Termination
12.1 By Either Party: Either party may terminate an engagement with 30 days' written notice.
12.2 For Cause: Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within 14 days of notice.
12.3 Effect of Termination: Upon termination, the Client shall pay for all work completed and expenses incurred up to the termination date. Triyamb Services shall deliver all completed work product to the Client upon receipt of such payment.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, governmental actions, internet or infrastructure failures, pandemics, or civil unrest. The affected party shall notify the other promptly and resume performance as soon as reasonably practicable.
14. Dispute Resolution
14.1 Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute.
14.2 Arbitration: If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be India. The language of arbitration shall be English.
14.3 Injunctive Relief: Notwithstanding the above, either party may seek urgent injunctive or equitable relief from a competent court to prevent irreparable harm.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the parties submit to the exclusive jurisdiction of the courts of India for any matter not subject to arbitration.
16. General Provisions
Entire Agreement: These Terms, together with any executed SOW, constitute the entire agreement between the parties and supersede all prior agreements relating to the subject matter.
Severability: If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right.
Assignment: The Client may not assign rights or obligations under these Terms without our prior written consent. Triyamb Services may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices: All formal notices must be in writing and sent to the email addresses specified in the SOW or to triyambservices@gmail.com.
